To the extent that federal law applies, including the Federal Trade Commission Act (FTC Act), such federal law shall govern. The parties further agree to submit to the personal jurisdiction of the state and federal courts located in the applicable jurisdiction for the purpose of litigating any such claims or disputes that are not subject to arbitration as described in Section 10 below.
You agree that any legal action or proceeding arising under or related to these Terms shall be brought exclusively in such courts, and you hereby consent to jurisdiction and venue in such courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
10. Dispute Resolution
10.1 Informal Resolution
In the event of any dispute, claim, or controversy between you and Pizza Luce arising out of or related to these Terms or your use of the Site or services, we encourage you to first contact us informally at [email protected] to attempt to resolve the matter amicably. We will use good faith efforts to resolve the dispute within thirty (30) days of receiving your written notice describing the nature of the dispute, the relief sought, and your contact information.
10.2 Binding Arbitration
If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in accordance with the rules of the American Arbitration Association (AAA) or JAMS, as mutually agreed upon by the parties. The arbitration shall be conducted in English, and the arbitral award shall be final and binding.
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration. If this class action waiver is found to be unenforceable, then the entirety of this arbitration clause shall be null and void.
10.3 Exceptions to Arbitration
Notwithstanding the foregoing, Pizza Luce retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of its intellectual property rights or other proprietary rights. Either party may also bring claims in small claims court if the claims qualify.
10.4 Arbitration Costs
The costs of any arbitration, including administrative fees, shall be borne as determined by the applicable arbitration rules. Each party shall bear the cost of its own attorneys' fees unless the arbitrator determines that a party's claim or defense was frivolous, in which case the arbitrator may award the prevailing party its reasonable attorneys' fees and costs.
11. Term and Termination
These Terms shall remain in full force and effect for as long as you use the Site or maintain an account with us. Pizza Luce reserves the right, in its sole and absolute discretion, to suspend or terminate your access to all or any part of the Site, with or without notice and without liability, for any reason, including but not limited to:

15. Force Majeure

In the event of a Force Majeure Event, Pizza Luce will use commercially reasonable efforts to resume normal operations as quickly as practicable. We will notify affected customers of the situation as soon as reasonably possible.
16. Severability
If any provision of these Terms of Service is found to be invalid, illegal, void, or unenforceable under applicable law by a court of competent jurisdiction or arbitrator, that provision shall be deemed severed from these Terms, and such invalidity, illegality, or unenforceability shall not affect or impair any other provision of these Terms. The remaining provisions of these Terms shall continue in full force and effect as if the invalid, illegal, or unenforceable provision had never been included.
Furthermore, in such circumstances, the parties agree to negotiate in good faith to replace the invalid, illegal, or unenforceable provision with a valid and enforceable provision that, to the greatest extent possible, achieves the original intent and economic effect of the replaced provision.
17. Entire Agreement and Waiver
